WHSL Bracket Challenge Contest Official Rules
NO PURCHASE NECESSARY TO ENTER OR WIN; MUST BE PRESENT TO WIN: THERE IS NO PURCHASE NECESSARY TO EITHER ENTER OR WIN THIS CONTEST. Participation in this Contest constitutes Entrant’s acceptance of these Official Rules. All federal, state, and local laws and regulations apply. MUST BE PRESENT AT THE CONFERENCE (AS DEFINED BELOW) TO WIN A PRIZE UNDER THIS CONTEST.
ELIGIBILITY: The WHSL Market Bracket Challenge Contest (this "Contest") is open only to legal residents of the 50 United States and Washington, D.C. who are at least 18 years old at the time of entry and who are verified registered attendees of the 2025 WHSL Market Conference (the “Conference”), to be held in Louisville, Kentucky on April 15-16, 2025 (each, an “Entrant”). None of (a) the officers, directors, or employees of BuyLow Warehouse LLC, doing business as WHSL Market (“WHSL” or “Sponsor”) or any affiliate of WHSL, as well as the immediate family (e.g., parents, spouse, siblings, and children – whether born or adopted) or other household members of such officers, directors and employees of WHSL and its affiliates, or (b) members of the public who are not verified registered attendees of the Conference are or will be eligible to enter or win this Contest. VOID IN PUERTO RICO, GUAM, AND ANY OTHER U.S. TERRITORIES, POSSESSIONS, OR MILITARY INSTALLATIONS, AND WHERE PROHIBITED. By participating in this Contest, Entrant: (a) acknowledges compliance with these Official Rules, and agrees to abide and be bound by these Official Rules and the decisions of the Sponsor, which shall be final in all matters relating to this Contest; (b) represents and warrants that Entrant meets all the eligibility criteria set forth in these Official Rules; (c) agrees to, and shall, comply with any and all applicable federal, state and local laws, rules and regulations; and (d) agrees to indemnify, defend, release, and hold harmless the Released Parties (as defined below) from and against any and all damages, claims and liabilities (including attorneys’ fees and costs) arising out of or relating in any way to Entrant’s participation in this Contest, Entrant’s entry in this Contest, and Entrant’s acceptance or use of any Prize (as defined below), and to release all rights to bring any claim, action or proceeding against the Released Parties. This includes, but is not limited to, any and all claims, demands, damages and causes of action for personal injury or death and/or damage to personal or real property, theft, loss, or damage of any kind, or any other harm suffered, directly or indirectly arising from or in connection with Entrant’s participation in and/or entry into this Contest or the receipt or acceptance, redemption, possession, use or misuse of any Prize, including, but not limited to, traveling to, preparing for and/or participating in any Contest or Prize-related activity, and for any other claim, including any claim based on defamation, publicity rights, invasion of privacy, copyright infringement, trademark infringement, or any other intellectual property-related or other cause of action.
CONTEST OVERVIEW: This Contest will utilize the separate and unaffiliated "Pick Hoops" platform, where Entrant will create free brackets within the WHSL Market group page on such platform, at https://www.pickhoops.com/WHSLMarket/ (the “Site”) with such Entrant’s picks of the winners of each game in the 2025 NCAA Division I Men’s Basketball Tournament, which runs from Thursday, March 20, 2025 through Monday, April 7, 2025 (the "Tournament"). WHSL is not affiliated with Pick Hoops, and Pick Hoops is not a sponsor of this Contest. As further described below in Section 5, eligible Entrants must complete and enter their fully completed brackets for the Tournament through the Site into this Contest to win prizes based on their predictions of winning teams in the Tournament. As further described below in Sections 6 and 7, the Grand Prize of $1,000,000 USD will be awarded to an eligible Entrant who created and submitted a “Perfect Bracket" through the Site. A “Perfect Bracket” is defined as a single, unmodified bracket submission of the eligible Entrant’s Tournament game winners where the correct winner was selected for every single game in the Tournament in such unmodified and submitted bracket. In the event there are multiple Perfect Brackets, the Grand Prize will be split evenly among all eligible Entrants of such Perfect Brackets. Each submitted bracket must be fully completed in the format required by WHSL, without errors, omissions, or technical malfunctions, as further described in these Official Rules. Any submitted bracket that is incomplete (i.e., not containing picks for winners of every single game in the Tournament and, as applicable, not containing tiebreaker scores), duplicate entries, formatting inconsistencies, or any discrepancies that prevent automated scoring will be deemed invalid and any such entry will be discarded and ineligible for any prize under this Contest. No edits, modifications, or resubmissions of submitted brackets are permitted once the first game of the Tournament starts, and will be discarded and ineligible for any prize under this Contest.
CONTEST AND ENTRY PERIODS: This Contest runs from 12:00:01 am Central Time (“CT”) on Sunday, March 16, 2025 through 11:59:59 pm CT on Monday, April 7, 2025 (the “Contest Period”). Eligible Entrants must create and submit their brackets through the Site that fully satisfy the requirements described in these Official Rules between Sunday, March 16, 2025 immediately following publicized announcements of all teams that will play in the Tournament and prior to the tip-off of the first game of the Tournament on Thursday, March 20, 2025 (the “Entry Period”). No bracket submissions will be permitted or considered valid submissions after the end of the Entry Period.
HOW TO ENTER: In order to enter this Contest, eligible Entrants must (a) register through the Site, (b) enter their picks for every single game of the Tournament in a bracket form on the Site (a “Bracket”), and (c) submit such Bracket through the Site. EACH ENTRANT MAY ONLY SUBMIT ONE (1) BRACKET IN THIS CONTEST. Any attempt by an individual Entrant to submit multiple Brackets, including, without limitation, through the use of different e-mail addresses, will result in disqualification of all Brackets except for the first Bracket submitted by the applicable Entrant that meets the requirements of these Official Rules, and all such additional Brackets submitted by such Entrant after the first such submitted Bracket will be deemed null and void. In Sponsor’s sole discretion, Sponsor may disqualify all Brackets submitted by an Entrant if Sponsor determines such Entrant attempted to submit multiple Brackets in violation of these Official Rules. The name and e-mail address provided by Entrant during registration at the Site prior to submitting Entrant’s Bracket must exactly match the name and e-mail address on the Entrant’s Conference ticket and the legal identification that will be required to claim any prize as described in these Official Rules, or Entrant’s Bracket may be disqualified.
SCORING & WINNER SELECTION: Points will be automatically awarded for each correct game winner selection in an eligible Entrant’s Bracket pursuant to the system employed on the platform at the Site (the “Points System”). The eligible Entrant with the highest score based on a tabulation of points awarded for each correct game winner in such Entrant’s Bracket under the Points System will be eligible to win the First Prize (as described below), subject to Sponsor’s verification of Entrant’s eligibility and all other requirements described in these Official Rules. A Perfect Bracket submitted by an Entrant is required for such Entrant to be eligible to win the Grand Prize (as described below). The NCAA’s official game results from the Tournament shall determine the outcomes of each game of the Tournament.
PRIZES: There may be one (1) grand prize, comprising $1,000,000 USD (the “Grand Prize”), awarded under this Contest for a Perfect Bracket submitted by an eligible Entrant; provided, however, that if there is more than one (1) Perfect Brackets submitted by separate eligible Entrants, then all eligible Entrants who submitted a Perfect Bracket will share the Grand Prize equally (for example, if only one (1) eligible Entrant submits a Perfect Bracket, then such Entrant will win the full Grand Prize, or if two (2) eligible Entrants each submit a Perfect Bracket, then each such Entrant will win exactly half the Grand Prize (i.e., $500,000), etc., in each case subject to such Entrants satisfying all verification criteria by Sponsor). NOTE: if no Perfect Brackets are submitted by any eligible Entrant, then no Grand Prize will be awarded under this Contest. There will be one (1) first prize, comprising $500 USD, awarded to the eligible Entrant whose submitted Bracket achieved the highest score among all Brackets submitted that are not Perfect Brackets, based on the Points System; provided, however, that if there are multiple Brackets having the same highest score that were submitted by separate eligible Entrants, then all eligible Entrants who submitted such tying highest score Brackets will share the First Prize equally (for example, if there is only one (1) highest score Bracket submitted by an eligible Entrant, then such Entrant will win the full First Prize, or if there are two (2) tying highest score Brackets submitted by separate eligible Entrants, then each such Entrant will win exactly half the First Prize (i.e., $250), etc., in each case subject to such Entrants satisfying all verification criteria by Sponsor). All prizes awarded under this Contest are non-transferable. At the Sponsor’s sole discretion, if any prize is unclaimed, it may not be awarded, it may be forfeited, and/or it may be awarded to an alternate winner. All taxes (federal, state, and local) and all other costs and expenses associated with acceptance of any prize are the sole responsibility of each winner. WHSL will not provide tax advice and strongly encourages winners to consult with a tax professional. A 1099-MISC or other required IRS form will be issued for any prize valued at $600 or more in accordance with IRS regulations. Winners of prizes exceeding $5,000 may be required to prepay federal withholding taxes before receiving payment, in compliance with IRS regulations. WHSL may withhold a portion of the prize amount if necessary to comply with tax laws. WHSL reserves the right to substitute a prize of equal or greater value if necessary.
WINNER NOTIFICATION, VERIFICATION & CLAIMING PRIZE: The award of each prize under this Contest is contingent upon verification by WHSL and its applicable agents, including, without limitation, its insurance provider that will underwrite the awarding of the Grand Prize, of each applicable Entrant’s compliance with these Official Rules, including, without limitation, all eligibility requirements. If WHSL’s insurance provider denies or otherwise rejects payment of the Grand Prize for any reason, WHSL shall have no obligation to pay, and will not pay, the Grand Prize, and Entrant hereby releases and holds harmless WHSL and its affiliates and each of their respective officers, directors, employees and agents (collectively, the “Released Parties”) for any and all claims related thereto. Potential winners will be notified via the e-mail used by the applicable Entrant when such Entrant registered for this Contest on the Site and submitted Entrant’s Bracket, on or around the day after the Tournament’s conclusion, and may be required to complete, sign and return a notarized affidavit of eligibility and liability release, applicable tax forms and, where lawful, a publicity release within three (3) days of the Tournament’s conclusion. The return of any e-mailed notification as undeliverable or failure to respond to any such notification within two (2) days, or failure to return any required documents or information within three (3) days of the Tournament’s conclusion, or a determination that a potential winner is ineligible or not in compliance with these Official Rules, all as may be determined by the Sponsor in its sole discretion, may result in the disqualification of a potential winner, the forfeiture of a prize, and the selection of an alternate winner based on the criteria described herein. NOTE: MUST BE PRESENT AT THE CONFERENCE TO WIN A PRIZE UNDER THIS CONTEST. Each prize must be retrieved in person by the winning Entrant(s) during their attendance at the Conference, on April 16th in Louisville, KY. Failure to comply may result in disqualification and an alternate winner may be selected in any such event.
FRAUDLENT CLAIMS & FALSE REPRESENTATIONS; LIMITATIONS; WAIVERS AND RELEASES: Any attempt to falsely claim a prize, misrepresent eligibility, or submit fraudulent documents will result in immediate disqualification and may be subject to civil and/or criminal penalties under applicable laws. WHSL reserves the right to report fraudulent claims to the appropriate legal authorities. WHSL, in its sole discretion, may disqualify any Entrant from participating in this Contest, refuse to award points or the Grand Prize or the First Prize, and/or require the return of the Grand Prize or the First Prize, if Entrant engages in any conduct WHSL deems to be improper, unfair or otherwise adverse to the operation of this Contest or detrimental to other Entrants. Such improper conduct includes, but is not limited to, falsifying personal information required during Contest registration or claim of any prize claim, violating or otherwise not complying with any terms or conditions in these Official Rules, accumulating points through methods such as automated computer scripts or other programming techniques, allowing others to use the Entrant’s personal information for the purpose of accumulating points, submitting multiple Brackets using different e-mail addresses, tampering with WHSL’s administration of this Contest, or intentionally trying to defraud, reverse engineer, disassemble, decompile or otherwise tamper with the computer programs hosting this Contest. Entrant further acknowledges that the forfeiture of the Grand Prize or the First Prize and/or return of the Grand Prize or the First Prize shall in no way prevent WHSL from pursuing other avenues of recourse, such as criminal or civil proceedings in connection with such conduct. None of the Released Parties are responsible for, and Entrant hereby expressly agrees that none of the Released Parties shall have any liability for: (a) causes beyond the reasonable control of the Released Parties that jeopardize the administration, security, fairness, integrity or proper conduct of this Contest; (b) incorrect or inaccurate information, whether caused by any of the Released Parties or by any of the equipment or programming associated with or utilized in this Contest (including, without limitation, the Site); (c) any typographical or other error in any advertising or marketing related to this Contest, in the administration or execution of this Contest, or in the announcement/notification of prize winners; (d) any human or other error which may occur in connection with this Contest; (e) cheating, fraud, or noncompliance with these Official Rules by any Entrant; (f) any technical malfunction or other problems relating to the telephone network or lines, computer online systems, servers, access providers, computer equipment, or software related to or otherwise used in connection with this Contest; or (g) the failure of Brackets to be received by the Sponsor during the Entry Period for any reason including, but not limited to, technical problems or traffic congestion on the Internet or at any website or any combination of the above, including, without limitation, the Site.
MODIFICATION, SUSPENSION AND TERMINATION; DISQUALIFICATION: If for any reason this Contest (a) cannot be executed as planned, including, but not limited to, weather, fraud, technical failures, Tournament cancellation or modification, or any other causes beyond the Sponsor’s control that corrupt or affect the security, administration, integrity, fairness or proper conduct of this Contest, or (b) is compromised or becomes corrupted in any way, electronically or otherwise, the Sponsor reserves the right, in its sole discretion, to suspend and/or terminate this Contest. The Sponsor may modify, suspend or terminate this Contest in the event any of Sponsor’s information technology systems or the Site become infected by a computer virus or are otherwise technically impaired. If this Contest is terminated before the stated end date of the Contest Period, the Sponsor may, in its sole discretion, elect not to award any prizes. The Sponsor reserves the right, in its sole discretion, to disqualify any individual who acts in a disruptive or unfair manner in connection with this Contest or its administration.
CHOICE OF LAW; JURISDICTION; DISPUTES & ARBITRATION: All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, this Contest, or the rights and obligations of any Entrant and the Sponsor in connection with this Contest, shall be governed by, and construed in accordance with, the substantive laws of the State of Tennessee, including its statutes of limitations, and without regard to any choice of law rules. Except where prohibited by law, as a condition of participating in this Contest, Entrant agrees that: (a) any and all disputes and causes of action arising out of or connected with this Contest or any Prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively, by final and binding arbitration under the rules of the American Arbitration Association, which shall be held at the AAA office located in Davidson County, Tennessee; (b) the Federal Arbitration Act shall govern the interpretation, enforcement, and all proceedings at such arbitration; and (c) judgment upon such arbitration award may be entered in any court having jurisdiction. Any damages shall be limited to actual out of pocket expenses incurred, not to exceed $100, and Entrant waives any rights to seek indirect, punitive, incidental, and consequential damages. Entrant further hereby waives the right to a jury trial.
RELEASE & LIMITATION OF LIABILITY: By participating in this Contest, Entrant expressly agrees (and agrees to confirm in writing) to: (a) release, defend, indemnify and hold harmless the Released Parties and Pick Hoops from and against any and all liability, loss, claim or cause of action, including, but not limited to, injury, death or damages arising out of participation in this Contest or the acceptance, possession, use or misuse of any prize; and (b) waive all rights to claim punitive, indirect, incidental, special or consequential damages, attorneys’ fees, court costs, or any damages, and any and all rights to have damages multiplied or otherwise increased. The maximum aggregate liability of the Released Parties in connection with this Contest is $100. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO APPLICABLE PORTIONS OF THE ABOVE MAY NOT APPLY TO ENTRANT.
PICK HOOPS DISCLAIMER: This Contest is in no way sponsored, endorsed, or administered by Pick Hoops. WHSL is not affiliated with Pick Hoops, and Entrants use the Pick Hoops platform and the Site at their own risk.
PUBLICITY RELEASE CLAUSE: Except in Tennessee and where prohibited, participation in this Contest constitutes Entrant’s permission for Sponsor and its agents to use Entrant’s name, photo, voice and/or likenesses for purposes of advertising and publicity in all media now known or hereinafter invented, without territorial or time limitations and without compensation or notice. Subject to the foregoing, the verified winners of this Contest may be publicly announced through a posting on Sponsor’s website, social media account(s) and possibly through other media.
FINAL AUTHORITY & CONTEST DECISIONS: WHSL reserves the sole and absolute discretion to determine the validity of all entries, scoring calculations, and prize awards. All decisions made by WHSL regarding this Contest, including, but not limited to, bracket validity, scoring disputes, and winner eligibility, are final and not subject to appeal.
PRIVACY: All personal information submitted by Entrant to WHSL as part of this Contest will be treated by WHSL in accordance with its privacy policy set forth at https://whslmarket.com/privacy-policy.
SPONSOR AND ADMINISTRATOR OF THIS CONTEST: BuyLow Warehouse LLC, doing business as WHSL Market. All questions regarding this Contest or these Official Rules must be directed to the Sponsor at support@whslmarket.com and not in any other manner, including through social media.

WINNER NOTIFICATION, VERIFICATION & CLAIMING PRIZE: The award of each prize under this Contest is contingent upon verification by WHSL and its applicable agents, including, without limitation, its insurance provider that will underwrite the awarding of the Grand Prize, of each applicable Entrant’s compliance with these Official Rules, including, without limitation, all eligibility requirements. MODIFICATION, SUSPENSION AND TERMINATION; DISQUALIFICATION: If for any reason this Contest (a) cannot be executed as planned, including, but not limited to, weather, fraud, technical failures, Tournament cancellation or modification, or any other causes beyond the Sponsor’s control that corrupt or affect the security, administration, integrity, fairness or proper conduct of this Contest, or (b) is compromised or becomes corrupted in any way, electronically or otherwise, the Sponsor reserves the right, in its sole discretion, to suspend and/or terminate this Contest. The Sponsor may modify, suspend or terminate this Contest in the event any of Sponsor’s information technology systems or the Site become infected by a computer virus or are otherwise technically impaired. If this Contest is terminated before the stated end date of the Contest Period, the Sponsor may, in its sole discretion, elect not to award any prizes. The Sponsor reserves the right, in its sole discretion, to disqualify any individual who acts in a disruptive or unfair manner in connection with this Contest or its administration.
CHOICE OF LAW; JURISDICTION; DISPUTES & ARBITRATION: All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, this Contest, or the rights and obligations of any Entrant and the Sponsor in connection with this Contest, shall be governed by, and construed in accordance with, the substantive laws of the State of Tennessee, including its statutes of limitations, and without regard to any choice of law rules. Except where prohibited by law, as a condition of participating in this Contest, Entrant agrees that: (a) any and all disputes and causes of action arising out of or connected with this Contest or any Prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively, by final and binding arbitration under the rules of the American Arbitration Association, which shall be held at the AAA office located in Davidson County, Tennessee; (b) the Federal Arbitration Act shall govern the interpretation, enforcement, and all proceedings at such arbitration; and (c) judgment upon such arbitration award may be entered in any court having jurisdiction. Any damages shall be limited to actual out of pocket expenses incurred, not to exceed $100, and Entrant waives any rights to seek indirect, punitive, incidental, and consequential damages. Entrant further hereby waives the right to a jury trial.
RELEASE & LIMITATION OF LIABILITY: By participating in this Contest, Entrant expressly agrees (and agrees to confirm in writing) to: (a) release, defend, indemnify and hold harmless the Released Parties and Pick Hoops from and against any and all liability, loss, claim or cause of action, including, but not limited to, injury, death or damages arising out of participation in this Contest or the acceptance, possession, use or misuse of any prize; and (b) waive all rights to claim punitive, indirect, incidental, special or consequential damages, attorneys’ fees, court costs, or any damages, and any and all rights to have damages multiplied or otherwise increased. The maximum aggregate liability of the Released Parties in connection with this Contest is $100. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO APPLICABLE PORTIONS OF THE ABOVE MAY NOT APPLY TO ENTRANT.

PUBLICITY RELEASE CLAUSE: Except in Tennessee and where prohibited, participation in this Contest constitutes Entrant’s permission for Sponsor and its agents to use Entrant’s name, photo, voice and/or likenesses for purposes of advertising and publicity in all media now known or hereinafter invented, without territorial or time limitations and without compensation or notice. ELIGIBILITY: The WHSL Market Bracket Challenge Contest (this "Contest") is open only to legal residents of the 50 United States and Washington, D.C. who are at least 18 years old at the time of entry and who are verified registered attendees of the 2025 WHSL Market Conference (the “Conference”), to be held in Louisville, Kentucky on April 15-16, 2025 (each, an “Entrant”). None of (a) the officers, directors, or employees of BuyLow Warehouse LLC, doing business as WHSL Market (“WHSL” or “Sponsor”) or any affiliate of WHSL, as well as the immediate family (e.g., parents, spouse, siblings, and children – whether born or adopted) or other household members of such officers, directors and employees of WHSL and its affiliates, or (b) members of the public who are not verified registered attendees of the Conference are or will be eligible to enter or win this Contest. VOID IN PUERTO RICO, GUAM, AND ANY OTHER U.S. TERRITORIES, POSSESSIONS, OR MILITARY INSTALLATIONS, AND WHERE PROHIBITED. CONTEST OVERVIEW: This Contest will utilize the separate and unaffiliated "Pick Hoops" platform, where Entrant will create free brackets within the WHSL Market group page on such platform, at https://www.pickhoops.com/WHSLMarket/ (the “Site”) with such Entrant’s picks of the winners of each game in the 2025 NCAA Division I Men’s Basketball Tournament, which runs from Thursday, March 20, 2025 through Monday, April 7, 2025 (the "Tournament"). WHSL is not affiliated with Pick Hoops, and Pick Hoops is not a sponsor of this Contest. As further described below in Section 5, eligible Entrants must complete and enter their fully completed brackets for the Tournament through the Site into this Contest to win prizes based on their predictions of winning teams in the Tournament. As further described below in Sections 6 and 7, the Grand Prize of $1,000,000 USD will be awarded to an eligible Entrant who created and submitted a “Perfect Bracket" through the Site. A “Perfect Bracket” is defined as a single, unmodified bracket submission of the eligible Entrant’s Tournament game winners where the correct winner was selected for every single game in the Tournament in such unmodified and submitted bracket. In the event there are multiple Perfect Brackets, the Grand Prize will be split evenly among all eligible Entrants of such Perfect Brackets. Each submitted bracket must be fully completed in the format required by WHSL, without errors, omissions, or technical malfunctions, as further described in these Official Rules. Any submitted bracket that is incomplete (i.e., not containing picks for winners of every single game in the Tournament and, as applicable, not containing tiebreaker scores), duplicate entries, formatting inconsistencies, or any discrepancies that prevent automated scoring will be deemed invalid and any such entry will be discarded and ineligible for any prize under this Contest. No edits, modifications, or resubmissions of submitted brackets are permitted once the first game of the Tournament starts, and will be discarded and ineligible for any prize under this Contest.
CONTEST AND ENTRY PERIODS: This Contest runs from 12:00:01 am Central Time (“CT”) on Sunday, March 16, 2025 through 11:59:59 pm CT on Monday, April 7, 2025 (the “Contest Period”). Eligible Entrants must create and submit their brackets through the Site that fully satisfy the requirements described in these Official Rules between Sunday, March 16, 2025 immediately following publicized announcements of all teams that will play in the Tournament and prior to the tip-off of the first game of the Tournament on Thursday, March 20, 2025 (the “Entry Period”). No bracket submissions will be permitted or considered valid submissions after the end of the Entry Period.
HOW TO ENTER: In order to enter this Contest, eligible Entrants must (a) register through the Site, (b) enter their picks for every single game of the Tournament in a bracket form on the Site (a “Bracket”), and (c) submit such Bracket through the Site. EACH ENTRANT MAY ONLY SUBMIT ONE (1) BRACKET IN THIS CONTEST. Any attempt by an individual Entrant to submit multiple Brackets, including, without limitation, through the use of different e-mail addresses, will result in disqualification of all Brackets except for the first Bracket submitted by the applicable Entrant that meets the requirements of these Official Rules, and all such additional Brackets submitted by such Entrant after the first such submitted Bracket will be deemed null and void. In Sponsor’s sole discretion, Sponsor may disqualify all Brackets submitted by an Entrant if Sponsor determines such Entrant attempted to submit multiple Brackets in violation of these Official Rules. The name and e-mail address provided by Entrant during registration at the Site prior to submitting Entrant’s Bracket must exactly match the name and e-mail address on the Entrant’s Conference ticket and the legal identification that will be required to claim any prize as described in these Official Rules, or Entrant’s Bracket may be disqualified.
SCORING & WINNER SELECTION: Points will be automatically awarded for each correct game winner selection in an eligible Entrant’s Bracket pursuant to the system employed on the platform at the Site (the “Points System”). The eligible Entrant with the highest score based on a tabulation of points awarded for each correct game winner in such Entrant’s Bracket under the Points System will be eligible to win the First Prize (as described below), subject to Sponsor’s verification of Entrant’s eligibility and all other requirements described in these Official Rules. A Perfect Bracket submitted by an Entrant is required for such Entrant to be eligible to win the Grand Prize (as described below). The NCAA’s official game results from the Tournament shall determine the outcomes of each game of the Tournament.

CHOICE OF LAW; JURISDICTION; DISPUTES & ARBITRATION: All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, this Contest, or the rights and obligations of any Entrant and the Sponsor in connection with this Contest, shall be governed by, and construed in accordance with, the substantive laws of the State of Tennessee, including its statutes of limitations, and without regard to any choice of law rules. Except where prohibited by law, as a condition of participating in this Contest, Entrant agrees that: (a) any and all disputes and causes of action arising out of or connected with this Contest or any Prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively, by final and binding arbitration under the rules of the American Arbitration Association, which shall be held at the AAA office located in Davidson County, Tennessee; (b) the Federal Arbitration Act shall govern the interpretation, enforcement, and all proceedings at such arbitration; and (c) judgment upon such arbitration award may be entered in any court having jurisdiction. Any damages shall be limited to actual out of pocket expenses incurred, not to exceed $100, and Entrant waives any rights to seek indirect, punitive, incidental, and consequential damages. Entrant further hereby waives the right to a jury trial.
RELEASE & LIMITATION OF LIABILITY: By participating in this Contest, Entrant expressly agrees (and agrees to confirm in writing) to: (a) release, defend, indemnify and hold harmless the Released Parties and Pick Hoops from and against any and all liability, loss, claim or cause of action, including, but not limited to, injury, death or damages arising out of participation in this Contest or the acceptance, possession, use or misuse of any prize; and (b) waive all rights to claim punitive, indirect, incidental, special or consequential damages, attorneys’ fees, court costs, or any damages, and any and all rights to have damages multiplied or otherwise increased. ELIGIBILITY: The WHSL Market Bracket Challenge Contest (this "Contest") is open only to legal residents of the 50 United States and Washington, D.C. who are at least 18 years old at the time of entry and who are verified registered attendees of the 2025 WHSL Market Conference (the “Conference”), to be held in Louisville, Kentucky on April 15-16, 2025 (each, an “Entrant”). None of (a) the officers, directors, or employees of BuyLow Warehouse LLC, doing business as WHSL Market (“WHSL” or “Sponsor”) or any affiliate of WHSL, as well as the immediate family (e.g., parents, spouse, siblings, and children – whether born or adopted) or other household members of such officers, directors and employees of WHSL and its affiliates, or (b) members of the public who are not verified registered attendees of the Conference are or will be eligible to enter or win this Contest. VOID IN PUERTO RICO, GUAM, AND ANY OTHER U.S. TERRITORIES, POSSESSIONS, OR MILITARY INSTALLATIONS, AND WHERE PROHIBITED. By participating in this Contest, Entrant: (a) acknowledges compliance with these Official Rules, and agrees to abide and be bound by these Official Rules and the decisions of the Sponsor, which shall be final in all matters relating to this Contest; (b) represents and warrants that Entrant meets all the eligibility criteria set forth in these Official Rules; (c) agrees to, and shall, comply with any and all applicable federal, state and local laws, rules and regulations; and (d) agrees to indemnify, defend, release, and hold harmless the Released Parties (as defined below) from and against any and all damages, claims and liabilities (including attorneys’ fees and costs) arising out of or relating in any way to Entrant’s participation in this Contest, Entrant’s entry in this Contest, and Entrant’s acceptance or use of any Prize (as defined below), and to release all rights to bring any claim, action or proceeding against the Released Parties. This includes, but is not limited to, any and all claims, demands, damages and causes of action for personal injury or death and/or damage to personal or real property, theft, loss, or damage of any kind, or any other harm suffered, directly or indirectly arising from or in connection with Entrant’s participation in and/or entry into this Contest or the receipt or acceptance, redemption, possession, use or misuse of any Prize, including, but not limited to, traveling to, preparing for and/or participating in any Contest or Prize-related activity, and for any other claim, including any claim based on defamation, publicity rights, invasion of privacy, copyright infringement, trademark infringement, or any other intellectual property-related or other cause of action.
CONTEST OVERVIEW: This Contest will utilize the separate and unaffiliated "Pick Hoops" platform, where Entrant will create free brackets within the WHSL Market group page on such platform, at https://www.pickhoops.com/WHSLMarket/ (the “Site”) with such Entrant’s picks of the winners of each game in the 2025 NCAA Division I Men’s Basketball Tournament, which runs from Thursday, March 20, 2025 through Monday, April 7, 2025 (the "Tournament"). WHSL is not affiliated with Pick Hoops, and Pick Hoops is not a sponsor of this Contest. As further described below in Section 5, eligible Entrants must complete and enter their fully completed brackets for the Tournament through the Site into this Contest to win prizes based on their predictions of winning teams in the Tournament. As further described below in Sections 6 and 7, the Grand Prize of $1,000,000 USD will be awarded to an eligible Entrant who created and submitted a “Perfect Bracket" through the Site. A “Perfect Bracket” is defined as a single, unmodified bracket submission of the eligible Entrant’s Tournament game winners where the correct winner was selected for every single game in the Tournament in such unmodified and submitted bracket. In the event there are multiple Perfect Brackets, the Grand Prize will be split evenly among all eligible Entrants of such Perfect Brackets. Each submitted bracket must be fully completed in the format required by WHSL, without errors, omissions, or technical malfunctions, as further described in these Official Rules. Any submitted bracket that is incomplete (i.e., not containing picks for winners of every single game in the Tournament and, as applicable, not containing tiebreaker scores), duplicate entries, formatting inconsistencies, or any discrepancies that prevent automated scoring will be deemed invalid and any such entry will be discarded and ineligible for any prize under this Contest. No edits, modifications, or resubmissions of submitted brackets are permitted once the first game of the Tournament starts, and will be discarded and ineligible for any prize under this Contest.
CONTEST AND ENTRY PERIODS: This Contest runs from 12:00:01 am Central Time (“CT”) on Sunday, March 16, 2025 through 11:59:59 pm CT on Monday, April 7, 2025 (the “Contest Period”). Eligible Entrants must create and submit their brackets through the Site that fully satisfy the requirements described in these Official Rules between Sunday, March 16, 2025 immediately following publicized announcements of all teams that will play in the Tournament and prior to the tip-off of the first game of the Tournament on Thursday, March 20, 2025 (the “Entry Period”). No bracket submissions will be permitted or considered valid submissions after the end of the Entry Period.
HOW TO ENTER: In order to enter this Contest, eligible Entrants must (a) register through the Site, (b) enter their picks for every single game of the Tournament in a bracket form on the Site (a “Bracket”), and (c) submit such Bracket through the Site. EACH ENTRANT MAY ONLY SUBMIT ONE (1) BRACKET IN THIS CONTEST. Any attempt by an individual Entrant to submit multiple Brackets, including, without limitation, through the use of different e-mail addresses, will result in disqualification of all Brackets except for the first Bracket submitted by the applicable Entrant that meets the requirements of these Official Rules, and all such additional Brackets submitted by such Entrant after the first such submitted Bracket will be deemed null and void. In Sponsor’s sole discretion, Sponsor may disqualify all Brackets submitted by an Entrant if Sponsor determines such Entrant attempted to submit multiple Brackets in violation of these Official Rules. The name and e-mail address provided by Entrant during registration at the Site prior to submitting Entrant’s Bracket must exactly match the name and e-mail address on the Entrant’s Conference ticket and the legal identification that will be required to claim any prize as described in these Official Rules, or Entrant’s Bracket may be disqualified.
SCORING & WINNER SELECTION: Points will be automatically awarded for each correct game winner selection in an eligible Entrant’s Bracket pursuant to the system employed on the platform at the Site (the “Points System”). The eligible Entrant with the highest score based on a tabulation of points awarded for each correct game winner in such Entrant’s Bracket under the Points System will be eligible to win the First Prize (as described below), subject to Sponsor’s verification of Entrant’s eligibility and all other requirements described in these Official Rules. A Perfect Bracket submitted by an Entrant is required for such Entrant to be eligible to win the Grand Prize (as described below). The NCAA’s official game results from the Tournament shall determine the outcomes of each game of the Tournament.
PRIZES: There may be one (1) grand prize, comprising $1,000,000 USD (the “Grand Prize”), awarded under this Contest for a Perfect Bracket submitted by an eligible Entrant; provided, however, that if there is more than one (1) Perfect Brackets submitted by separate eligible Entrants, then all eligible Entrants who submitted a Perfect Bracket will share the Grand Prize equally (for example, if only one (1) eligible Entrant submits a Perfect Bracket, then such Entrant will win the full Grand Prize, or if two (2) eligible Entrants each submit a Perfect Bracket, then each such Entrant will win exactly half the Grand Prize (i.e., $500,000), etc., in each case subject to such Entrants satisfying all verification criteria by Sponsor). NOTE: if no Perfect Brackets are submitted by any eligible Entrant, then no Grand Prize will be awarded under this Contest. There will be one (1) first prize, comprising $500 USD, awarded to the eligible Entrant whose submitted Bracket achieved the highest score among all Brackets submitted that are not Perfect Brackets, based on the Points System; provided, however, that if there are multiple Brackets having the same highest score that were submitted by separate eligible Entrants, then all eligible Entrants who submitted such tying highest score Brackets will share the First Prize equally (for example, if there is only one (1) highest score Bracket submitted by an eligible Entrant, then such Entrant will win the full First Prize, or if there are two (2) tying highest score Brackets submitted by separate eligible Entrants, then each such Entrant will win exactly half the First Prize (i.e., $250), etc., in each case subject to such Entrants satisfying all verification criteria by Sponsor). All prizes awarded under this Contest are non-transferable. At the Sponsor’s sole discretion, if any prize is unclaimed, it may not be awarded, it may be forfeited, and/or it may be awarded to an alternate winner. All taxes (federal, state, and local) and all other costs and expenses associated with acceptance of any prize are the sole responsibility of each winner. WHSL will not provide tax advice and strongly encourages winners to consult with a tax professional. A 1099-MISC or other required IRS form will be issued for any prize valued at $600 or more in accordance with IRS regulations. Winners of prizes exceeding $5,000 may be required to prepay federal withholding taxes before receiving payment, in compliance with IRS regulations. WHSL may withhold a portion of the prize amount if necessary to comply with tax laws. WHSL reserves the right to substitute a prize of equal or greater value if necessary.
WINNER NOTIFICATION, VERIFICATION & CLAIMING PRIZE: The award of each prize under this Contest is contingent upon verification by WHSL and its applicable agents, including, without limitation, its insurance provider that will underwrite the awarding of the Grand Prize, of each applicable Entrant’s compliance with these Official Rules, including, without limitation, all eligibility requirements. If WHSL’s insurance provider denies or otherwise rejects payment of the Grand Prize for any reason, WHSL shall have no obligation to pay, and will not pay, the Grand Prize, and Entrant hereby releases and holds harmless WHSL and its affiliates and each of their respective officers, directors, employees and agents (collectively, the “Released Parties”) for any and all claims related thereto. Potential winners will be notified via the e-mail used by the applicable Entrant when such Entrant registered for this Contest on the Site and submitted Entrant’s Bracket, on or around the day after the Tournament’s conclusion, and may be required to complete, sign and return a notarized affidavit of eligibility and liability release, applicable tax forms and, where lawful, a publicity release within three (3) days of the Tournament’s conclusion. The return of any e-mailed notification as undeliverable or failure to respond to any such notification within two (2) days, or failure to return any required documents or information within three (3) days of the Tournament’s conclusion, or a determination that a potential winner is ineligible or not in compliance with these Official Rules, all as may be determined by the Sponsor in its sole discretion, may result in the disqualification of a potential winner, the forfeiture of a prize, and the selection of an alternate winner based on the criteria described herein. NOTE: MUST BE PRESENT AT THE CONFERENCE TO WIN A PRIZE UNDER THIS CONTEST. Each prize must be retrieved in person by the winning Entrant(s) during their attendance at the Conference, on April 16th in Louisville, KY. Failure to comply may result in disqualification and an alternate winner may be selected in any such event.
FRAUDLENT CLAIMS & FALSE REPRESENTATIONS; LIMITATIONS; WAIVERS AND RELEASES: Any attempt to falsely claim a prize, misrepresent eligibility, or submit fraudulent documents will result in immediate disqualification and may be subject to civil and/or criminal penalties under applicable laws. WHSL reserves the right to report fraudulent claims to the appropriate legal authorities. WHSL, in its sole discretion, may disqualify any Entrant from participating in this Contest, refuse to award points or the Grand Prize or the First Prize, and/or require the return of the Grand Prize or the First Prize, if Entrant engages in any conduct WHSL deems to be improper, unfair or otherwise adverse to the operation of this Contest or detrimental to other Entrants. Such improper conduct includes, but is not limited to, falsifying personal information required during Contest registration or claim of any prize claim, violating or otherwise not complying with any terms or conditions in these Official Rules, accumulating points through methods such as automated computer scripts or other programming techniques, allowing others to use the Entrant’s personal information for the purpose of accumulating points, submitting multiple Brackets using different e-mail addresses, tampering with WHSL’s administration of this Contest, or intentionally trying to defraud, reverse engineer, disassemble, decompile or otherwise tamper with the computer programs hosting this Contest. Entrant further acknowledges that the forfeiture of the Grand Prize or the First Prize and/or return of the Grand Prize or the First Prize shall in no way prevent WHSL from pursuing other avenues of recourse, such as criminal or civil proceedings in connection with such conduct. None of the Released Parties are responsible for, and Entrant hereby expressly agrees that none of the Released Parties shall have any liability for: (a) causes beyond the reasonable control of the Released Parties that jeopardize the administration, security, fairness, integrity or proper conduct of this Contest; (b) incorrect or inaccurate information, whether caused by any of the Released Parties or by any of the equipment or programming associated with or utilized in this Contest (including, without limitation, the Site); (c) any typographical or other error in any advertising or marketing related to this Contest, in the administration or execution of this Contest, or in the announcement/notification of prize winners; (d) any human or other error which may occur in connection with this Contest; (e) cheating, fraud, or noncompliance with these Official Rules by any Entrant; (f) any technical malfunction or other problems relating to the telephone network or lines, computer online systems, servers, access providers, computer equipment, or software related to or otherwise used in connection with this Contest; or (g) the failure of Brackets to be received by the Sponsor during the Entry Period for any reason including, but not limited to, technical problems or traffic congestion on the Internet or at any website or any combination of the above, including, without limitation, the Site.
MODIFICATION, SUSPENSION AND TERMINATION; DISQUALIFICATION: If for any reason this Contest (a) cannot be executed as planned, including, but not limited to, weather, fraud, technical failures, Tournament cancellation or modification, or any other causes beyond the Sponsor’s control that corrupt or affect the security, administration, integrity, fairness or proper conduct of this Contest, or (b) is compromised or becomes corrupted in any way, electronically or otherwise, the Sponsor reserves the right, in its sole discretion, to suspend and/or terminate this Contest. The Sponsor may modify, suspend or terminate this Contest in the event any of Sponsor’s information technology systems or the Site become infected by a computer virus or are otherwise technically impaired. If this Contest is terminated before the stated end date of the Contest Period, the Sponsor may, in its sole discretion, elect not to award any prizes. The Sponsor reserves the right, in its sole discretion, to disqualify any individual who acts in a disruptive or unfair manner in connection with this Contest or its administration.
